Current report no. 03/2017 dated 4 April 2017 Conditional resignation of Ralf Schmid and Michael Schmid as members of the Company's Supervisory Board Legal basis: Article 17.1 of Market Abuse Regulation Content: The Executive Board of UNIWHEELS AG (the "Company") hereby informs that it was notified today by Ralf Schmid and Michael Schmid that they will resign as members of the Company's Supervisory Board subject to, and with effect upon satisfaction of, the condition precedent that all 7,600,000 shares in the Company held by UNIWHEELS Holding (Malta) Ltd. have been transferred to Superior Industries International AG in connection with the consummation of the public tender offer of Superior Industries International AG for the Company's Shares announced on March 23, 2017 (the "Tender Offer"). If the Tender Offer will not be consummated, the resignation will not come into effect. This conditional resignation is in line with the obligations of UNIWHEELS Holding (Malta) Ltd. under the irrevocable undertaking entered into by UNIWHEELS Holding (Malta) Ltd., Superior Industries International AG and Superior Industries International Inc. on March 23, 2017 in connection with the Tender Offer.
