Legal basis: Art. 80.1 and 80.3 of Public Offering Act

The Executive Board of UNIWHEELS AG (the Company ), acting pursuant to Art. 80.1 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to organised Trading, and Public Companies of July 29th 2015 Journal of Laws of 2013, No. 1382, as amended ( Public Offering Act ), hereby presents its position on the tender offer for the Company shares announced on March 23rd 2017 by Superior Industries International AG (the Tender Offer ).
In addition, according to Art. 80.3 of Public Offering Act, the Executive Board of the Company announces to the public the opinion of the external entity Ludwig & Co. GmbH on the share price in the Tender Offer.
