Pursuant to the provisions of the Rules and Regulations of the Ljubljana Stock Exchange d.d., Financial Instruments Market Act (ZTFI), and the Corporate Governance Code of the Ljubljana Stock Exchange and Warsaw Stock Exchange, the company Gorenje d.d., Velenje, hereby makes the following announcement:
Issuer: Gorenje gospodinjski aparati d.d. (abbreviated name: Gorenje d.d.), Partizanska 12, 3320 Velenje

On June 26, 2018, Gorenje d.d. received from the company Kapitalske družbe, d. d. (further KAD), Dunajska cesta 119, 1000 Ljubljana, Slovenia a notification that KAD accepted the takeover offer by the company Hisense Luxembourg Holding S.a r.l., 6 Rue Eug ne Ruppert L-2453 Luxembourg on June 26, 2018, and will on such basis dispose all of its shares of the company Gorenje d.d. The takeover offer was accepted for a total of 3,998,735 shares, representing 16.3717% of all Gorenje shares. After the closing of transaction, KAD will no longer hold any ownership share in the company Gorenje d.d.
Along with the information on major shareholdings in the company, Gorenje d.d. also received a notification on transactions conducted by persons performing managerial and executive tasks, and persons closely related to them, pertaining to the acceptance of the takeover bid referred to above. Kapitalska družba d.d. is closely related to Bachtiar Djalil who holds the position of Management Board president at Kapitalska družba d.d., as well as the position of a Supervisory Board member at the issuer company Gorenje gospodinjski aparati d.d.
