On the basis of utilisation of the authorisation in line with Article 5 (3) ( Authorised Capital 2018/I ) of the Articles of Association on 21 December 2018, the Executive Board with the approval of the Supervisory Board of the same day, resolved to increase the share capital of the company against cash from the current level of 17,773,150.00 by up to 892,181.00 to up to 18,665,331.00 by issuing up to 892,181 new bearer shares with a proportional amount of the share capital of 1.00 per share.
In case the Annual General Meeting has not decided on the appropriation of the net profit for the financial year 2018 at the time the new shares are issued, the new shares are entitled to dividends as of January 1, 2018 (inclusive); otherwise with full dividend rights from January 1, 2019 (inclusive). The subscription right of shareholders is disapplied in line with Section 203 (1) and (2), Section 186 (3) sentence 4 German Stock Corporation Act and Article 5 (3) b) of the Articles of Association.
