| BTCS S.A. with its registered office in Warsaw, ul. Plac Powstańców Warszawy 2, 00-030 Warsaw, entered in the Register of Entrepreneurs of the National Court Register under KRS number 0000390734 (the "Issuer") announces that on September 22, 2025 the Issuer's Supervisory Board agreed that the Issuer's Management Board is authorized to exclude, in the Issuer's interest, the preemptive rights of existing shareholders in their entirety with respect to series G shares issued as part of a share capital increase carried out under the authorization referred to in paragraph 6a of the Issuer's Articles of Association.
